Fully Diluted Capitalization (a.k.a. Fully Diluted Number)

Fully Diluted Capitalization, also known as "Fully Diluted Number" is the aggregate amount that includes all the shares of the corporation's capital stock both issued and outstanding, the shares reserved for and/or issued under the Stock Incentive Plan, the shares that would be issued if each outstanding warrant were exercised, plus all shares of capital stock that would be issued upon the conversion of each convertible note and/or SAFE. Simply put, it takes into account all calculated shares, assuming that all plans and obligations to issue them have been fulfilled.
