Option Refresh

Option refresh is a negotiated term in a preferred equity financing that relates to the corporation reserving and allocating additional shares to the corporation's Stock Incentive Plan, which will provide a large enough equity stake to attract new employees and talent after the financing. During the negotiations of the Term Sheet, the lead investor will typically negotiate that the Option Refresh is counted as part of the corporation's pre-money fully diluted capitalization.
