This is the process by which a company files the needed documents with the SEC which lists down the particulars of a proposed public offering. The registration usually has two parts: the prospectus for investors and private filings for the SEC. Registration includes important details about the offering, such as the price, date, financial statements, legal problems, management, and the purpose of the offering. The term can also be used to refer to when a broker-dealer files the appropriate documentation in order to be able to legally sell securities.
